ORDONANTA DE URGENTA   Nr. 106 din 27 iunie 2001

pentru finalizarea procesului de privatizare a Bancii Agricole - S.A.

ACT EMIS DE: GUVERNUL ROMANIEI

    In temeiul prevederilor art. 114 alin. (4) din Constitutia Romaniei,

    Guvernul Romaniei adopta prezenta ordonanta de urgenta.

    Art. 1
    (1) De la data intrarii in vigoare a prezentei ordonante de urgenta Banca Agricola - S.A. este exonerata de drept de orice fel de obligatii fata de autoritatile administratiei publice centrale ale caror cauze sunt anterioare datei semnarii contractului de vanzare-cumparare de actiuni, altele decat cele aferente activitatii de recuperare a creditelor si dobanzilor pentru care au fost emise titluri de stat pe numele acesteia potrivit legislatiei aplicabile.
    (2) Dupa finalizarea privatizarii Bancii Agricole - S.A. sumele preluate la datoria publica pentru care s-au emis titluri de stat pe numele bancii nu se supun controlului Curtii de Conturi si nu sunt supuse la recalculari sau regularizari.
    Art. 2
    (1) Angajamentele extrabilantiere in limita sumei de 4,2 miliarde lei si a echivalentului a 8,7 milioane dolari S.U.A. sunt garantate irevocabil si neconditionat de stat si se urmaresc in continuare de catre Banca Agricola - S.A.
    (2) Angajamentele extrabilantiere care la data exigibilitatii lor devin creante neperformante, potrivit Ordonantei de urgenta a Guvernului nr. 51/1998 privind unele masuri premergatoare privatizarii bancilor, cu modificarile si completarile ulterioare, vor fi predate la Oficiul pentru Recuperarea Creantelor Bancare.
    (3) In contrapartida activelor preluate de Oficiul pentru Recuperarea Creantelor Bancare Banca Agricola - S.A. va primi titluri de stat de valoare egala, in lei sau in valuta, dupa caz. Emisiunea titlurilor de stat se va efectua cu data predarii activelor neperformante la Oficiul pentru Recuperarea Creantelor Bancare. Cu valoarea angajamentelor extrabilantiere exigibile comunicate de Banca Agricola - S.A. se va diminua valoarea garantiei statului prevazuta la alin. (1).
    (4) Titlurile de stat emise conform prevederilor alin. (3) sunt negociabile, au scadenta la 30 de luni de la data emisiunii si sunt purtatoare de dobanda a carei rata se situeaza la nivelul ratei ultimei emisiuni de titluri de stat cu scadenta la 91 de zile, lansata de Ministerul Finantelor Publice anterior perioadei pentru care se calculeaza si se plateste dobanda. Dobanda aferenta titlurilor de stat emise se va calcula si se va plati trimestrial in primele 5 zile lucratoare ale lunii urmatoare trimestrului pentru care se face plata.
    (5) Banca Agricola - S.A. poarta intreaga raspundere cu privire la realitatea si corectitudinea sumelor pentru care solicita emisiunea de titluri de stat.
    Art. 3
    (1) Creditele acordate de Banca Agricola - S.A. in baza prevederilor Legii nr. 165/1998 privind constituirea la dispozitia Ministerului Agriculturii si Alimentatiei a fondului pentru finantarea cheltuielilor aferente lucrarilor agricole din sectorul vegetal si a celor pentru cresterea animalelor, in perioada 1998 - 2000, anterior datei intrarii in vigoare a Ordonantei de urgenta a Guvernului nr. 40/2001 si pentru care Ministerul Agriculturii, Alimentatiei si Padurilor nu a alocat fondurile necesare conform legii, se suporta din surse proprii de catre Banca Agricola - S.A., in limita sumei totale de 21,9 miliarde lei.
    (2) Dobanzile pentru aceste credite, ce se calculeaza de catre Banca Agricola - S.A., si bonificatiile aferente cuvenite producatorilor agricoli se regularizeaza dupa cum urmeaza:
    a) pentru sumele acordate cu titlu de credit Banca Agricola - S.A. va calcula un cost al surselor egal cu dobanda la titlurile de stat emise conform dispozitiilor art. 2 din Ordonanta de urgenta a Guvernului nr. 210/2000 privind recapitalizarea Bancii Agricole - S.A. in vederea privatizarii, astfel cum a fost modificata prin Legea nr. 122/2001;
    b) bonificatia de dobanda cuvenita si acordata producatorilor agricoli, precum si diferenta dintre dobanda calculata potrivit prevederilor lit. a) si dobanda pe care producatorii agricoli o achita bancii, conform Legii nr. 165/1998, se vor retine de Banca Agricola - S.A. din sumele datorate Ministerului Agriculturii, Alimentatiei si Padurilor;
    c) Banca Agricola - S.A. va restitui Ministerului Agriculturii, Alimentatiei si Padurilor sumele trase din fond pentru acordarea de credite si dobanzile aferente diminuate cu retinerile prevazute la lit. b) numai dupa rambursarea creditelor acordate din resursele proprii ale bancii.
    Art. 4
    (1) Se aproba transferul cu plata, din proprietatea Bancii Agricole - S.A. in domeniul public al statului si in administrarea Regiei Autonome "Administratia Patrimoniului Protocolului de Stat", al cladirilor pentru birouri si utilitati social-economice, impreuna cu terenurile si dotarile aferente, precum si protocolul de predare-preluare incheiat in acest scop intre partile interesate, prevazute in anexa care face parte integranta din prezenta ordonanta de urgenta.
    (2) Transferul imobilelor prevazute in anexa se face fara plata taxei pe valoarea adaugata si fara recuperarea chiriilor sau a redeventelor achitate anticipat de Banca Agricola - S.A.
    (3) Cladirile pentru birouri si utilitati social-economice, impreuna cu terenurile si dotarile aferente, prevazute in anexa, care nu pot fi transmise ulterior in administrarea ministerelor sau a institutiilor publice centrale si locale, vor fi trecute din domeniul public in domeniul privat al statului prin hotarare a Guvernului, urmand sa fie valorificate de Regia Autonoma "Administratia Patrimoniului Protocolului de Stat" la valoarea de piata, stabilita pe baza de raport de evaluare.
    (4) Din sumele obtinute ca urmare a valorificarii bunurilor, prevazuta la alin. (3), se acopera cheltuielile facute de Regia Autonoma "Administratia Patrimoniului Protocolului de Stat" cu preluarea, administrarea si valorificarea bunurilor in cauza, iar diferenta se varsa la bugetul de stat.
    Art. 5
    Ordonanta de urgenta a Guvernului nr. 210/2000 privind recapitalizarea Bancii Agricole - S.A. in vederea privatizarii, publicata in Monitorul Oficial al Romaniei, Partea I, nr. 601 din 23 noiembrie 2000, aprobata si modificata prin Legea nr. 122/2001, publicata in Monitorul Oficial al Romaniei, Partea I, nr. 160 din 29 martie 2001, se modifica si se completeaza dupa cum urmeaza:
    1. Alineatul (1^1) al articolului 3 va avea urmatorul cuprins:
    "(1^1) Protocolul de predare-preluare in domeniul public al statului a cladirilor pentru birouri si utilitati social-economice, impreuna cu terenurile si dotarile aferente, prevazute in anexa <<Lista cuprinzand cladirile pentru birouri, utilitati social-economice, dotarile si terenurile aferente, supuse transferului cu plata in domeniul public al statului>> la prezenta ordonanta de urgenta se incheie in termen de maximum 90 de zile de la data intrarii in vigoare a legii de aprobare a prezentei ordonante de urgenta."
    2. Alineatul (2) al articolului 3 va avea urmatorul cuprins:
    "(2) Plata activelor fixe prevazute la alin. (1) se va face dupa incheierea protocolului de predare-preluare prin titluri de stat emise cu data de 3 ianuarie 2001, care sunt negociabile, au scadenta la 30 de luni si sunt purtatoare de dobanda a carei rata se situeaza la nivelul ratei ultimei emisiuni de titluri de stat cu scadenta la 91 de zile, lansata de Ministerul Finantelor Publice anterior perioadei pentru care se calculeaza si se plateste dobanda. Dobanda se va calcula si se va plati trimestrial in primele 5 zile lucratoare ale lunii urmatoare trimestrului pentru care se face plata."
    3. Dupa articolul 3 se introduce articolul 3^1 cu urmatorul cuprins:
    "Art. 3^1
    (1) La solicitarea detinatorilor legali ai titlurilor de stat emise in conditiile prezentei ordonante de urgenta Ministerul Finantelor Publice, in termen de 30 de zile calendaristice de la solicitare, va proceda la rascumpararea in avans a titlurilor de stat numai in situatia in care in interiorul calendarului de 30 de luni de la data emiterii titlurilor are loc unul dintre urmatoarele evenimente:
    a) in cadrul sedintelor de licitatie pentru titluri de stat Ministerul Finantelor Publice nu organizeaza licitatii pentru titluri de stat cu scadenta la 91 de zile;
    b) daca, oricand pana la data scadentei, nivelul ratei dobanzii utilizate drept rata de referinta la calculul dobanzilor titlurilor de stat este mai mic cu 8%, in termeni relativi, decat media aritmetica a ratelor medii de dobanda adjudecate in cadrul ultimelor patru licitatii de titluri de stat cu scadenta la 91 de zile anterioare licitatiei de adjudecare a ratei de referinta.
    (2) Solicitarea de rascumparare in avans a titlurilor de stat se va efectua in scris in termen de cel mult 5 zile lucratoare de la data licitatiei de adjudecare a ratei de referinta, termen a carui depasire conduce la exonerarea Ministerului Finantelor Publice de obligatia de rascumparare in avans a titlurilor de stat."
    4. Titlul anexei se modifica si va avea urmatorul cuprins: "Lista cuprinzand cladirile pentru birouri, utilitati social-economice, dotarile si terenurile aferente, supuse transferului cu plata in domeniul public al statului".

                                PROTOCOL
                           de predare-preluare

    Incheiat astazi, 26 iunie 2001, intre:
    Regia Autonoma "Administratia Patrimoniului Protocolului de Stat", reprezentata prin domnul Eugen Bejinariu, director general, si doamna Emilia Serban, director economic, in calitate de primitor,
    si
    Banca Agricola - S.A., reprezentata prin domnul Constantin Marin, directorul Directiei resurse umane si logistica, si domnul Marin Ilie, directorul Directiei contabilitate, in calitate de predator
    In conformitate cu prevederile art. 3 din Ordonanta de urgenta a Guvernului nr. 210/2000 privind recapitalizarea Bancii Agricole - S.A. in vederea privatizarii, aprobata cu modificari prin Legea nr. 122/2001, s-a incheiat prezentul protocol pentru predarea, respectiv preluarea din proprietatea Bancii Agricole - S.A. in proprietatea publica a statului si in administrarea Regiei Autonome "Administratia Patrimoniului Protocolului de Stat" a cladirilor pentru birouri si utilitati social-economice, impreuna cu terenurile si dotarile aferente, prevazute in procesele-verbale de predare-preluare intocmite pentru fiecare unitate teritoriala.
    Predarea-preluarea s-a efectuat in prezenta comisiilor de preluare, numite prin deciziile Regiei Autonome "Administratia Patrimoniului Protocolului de Stat" nr. 141/10 aprilie 2001 si nr. 149/11 aprilie 2001, si a comisiilor de predare, numite in baza Ordinului presedintelui Bancii Agricole - S.A. nr. 84/10 aprilie 2001, prin inventarierea faptica a obiectivelor mentionate in anexa nr. 1*) (valoare in milioane lei, pe obiective), completata cu anexa nr. 2 (valoare in lei, pe judete), ce fac parte integranta din prezentul protocol.

    *) Anexa nr. 1 are continutul listei-anexa la ordonanta de urgenta care aproba prezentul protocol.

    Rezultatele operatiunii de predare-preluare au fost consemnate in procesele-verbale intocmite de fiecare comisie, care fac parte integranta din prezentul protocol.
    Dupa inventarierea faptica si potrivit datelor din evidenta contabila Regia Autonoma "Administratia Patrimoniului Protocolului de Stat", prin sucursalele sale, a preluat active in valoare totala de inventar de 726.881.203.708,74 lei, conform anexei nr. 2.
    Se mentioneaza ca valoarea obiectivelor preluate a fost reevaluata de Banca Agricola - S.A., conform prevederilor hotararilor Guvernului nr. 945/1990, nr. 26/1992, nr. 500/1994 si ale Ordonantei de urgenta a Guvernului nr. 43/1997, modificata prin Ordonanta de urgenta a Guvernului nr. 21/1998.
    Starea tehnica, precum si situatia juridica a constructiilor si terenurilor sunt mentionate in procesele-verbale intocmite de comisiile de preluare, iar pentru anumite pozitii preluate cu diferite probleme s-a intocmit anexa nr. 3*) care face parte integranta din prezentul protocol.

    *) Anexa nr. 3 contine date tehnice care intereseaza numai partile intre care s-a incheiat protocolul si institutiile publice carora acesta se comunica.

    Banca Agricola - S.A. isi asuma intreaga responsabilitate asupra valorii bunurilor transmise, situatiei juridice si titlurilor de proprietate, Regia Autonoma "Administratia Patrimoniului Protocolului de Stat" nefiind tinuta de drepturile si obligatiile Bancii Agricole - S.A. in legatura cu bunurile (cladiri, terenuri, dotari etc.) preluate in administrarea regiei.
    Regia Autonoma "Administratia Patrimoniului Protocolului de Stat" isi va exercita drepturile si obligatiile ce ii revin in calitate de administrator, o data cu semnarea prezentului protocol.
    Pana la data semnarii protocolului cheltuielile aferente utilitatilor, precum si plata taxelor si impozitelor vor fi suportate de Banca Agricola - S.A.
    Prezentul protocol s-a intocmit in 5 (cinci) exemplare, din care:
    - 1 exemplar la Regia Autonoma "Administratia Patrimoniului Protocolului de Stat";
    - 1 exemplar la Banca Agricola - S.A.;
    - 1 exemplar la Autoritatea pentru Privatizare si Administrarea Participatiilor Statului;
    - 1 exemplar la Ministerul Finantelor Publice;
    - 1 exemplar la Secretariatul General al Guvernului.

la Protocolul de predare-preluare nr. 4.902/26 iunie 2001

    In conformitate cu prevederile art. 3 din Ordonanta de urgenta a Guvernului nr. 210/2000 privind recapitalizarea Bancii Agricole - S.A. in vederea privatizarii, aprobata cu modificari prin Legea nr. 122/2001, s-a incheiat prezentul act aditional in completarea Protocolului nr. 4.902/26 iunie 2001 pentru predarea, respectiv preluarea din proprietatea Bancii Agricole - S.A. in proprietatea publica a statului si in administrarea Regiei Autonome "Administratia Patrimoniului Protocolului de Stat" a cladirilor pentru birouri si utilitati social-economice, impreuna cu terenurile si dotarile aferente, prevazute in procesele-verbale de predare-preluare, prin inventarierea faptica a bunurilor mentionate in anexa care face parte integranta din prezentul act aditional.
    La valoarea de inventar (reevaluata) de 726.881.203.708,74 lei, prevazuta in protocolul initial, dupa inventarierea faptica si potrivit datelor din evidenta contabila se adauga valoarea de inventar de 3.118.560.320 lei, valoare rezultata din procesele-verbale de predare-preluare suplimentare care fac parte integranta din prezentul act aditional.
    Astfel se completeaza anexele nr. 1 si 2 la Protocolul nr. 4.902/26 iunie 2001 cu valorile aferente bunurilor preluate conform proceselor-verbale de predare-preluare intocmite de comisiile de predare, respectiv preluare, si prezentate in anexa la prezentul act aditional.
    Astfel valoarea totala de inventar aferenta bunurilor preluate conform Legii nr. 122/2001 devine 729.999.764.028,74 lei.
    Se mentioneaza ca Regia Autonoma "Administratia Patrimoniului Protocolului de Stat", prin preluarea celei de-a doua cupole aferente investitiei in curs din Arad, judetul Arad (pozitia D2 din lista-anexa la Legea nr. 122/2001), va cuprinde valoarea de 1.077.328.174 lei, in valoarea activului disponibilizat.
    Contravaloarea cupolei ce face obiectul litigiului aflat pe rolul instantei de judecata, daca va fi recuperata de Banca Agricola - S.A., se va vira in contul Regiei Autonome "Administratia Patrimoniului Protocolului de Stat" care va dispune de aceasta conform prevederilor legale.
    De asemenea, in baza Adresei nr. 3.999/26 iunie 2001 a Bancii Agricole S.A. - Administratia centrala, valoarea obiectivului de investitii in curs "Magazinul Sora" (Calea Grivitei nr. 140) se completeaza cu suma de 44.056.000 lei, deoarece, conform raportului de expertiza tehnica intocmit de expertul desemnat de Tribunalul Municipiului Bucuresti, valoarea debitului Cibela este de 2.086,3 milioane lei, suma bunurilor predate devenind 10.722,1 milioane lei.
    Prezentul act aditional constituie parte integranta din Protocolul nr. 4.902/26 iunie 2001 si s-a intocmit in cinci exemplare:
    - 1 exemplar la Regia Autonoma "Administratia Patrimoniului Protocolului de Stat";
    - 1 exemplar la Banca Agricola - S.A.;
    - 1 exemplar la Autoritatea pentru Privatizare si Administrarea Participatiilor Statului;
    - 1 exemplar la Ministerul Finantelor Publice;
    - 1 exemplar la Secretariatul General al Guvernului.
