ORDONANTA DE URGENTA Nr. 122 din 1 septembrie 2005
pentru ratificarea Acordului-cadru de imprumut dintre Romania si Banca de
Dezvoltare a Consiliului Europei, semnat la Bucuresti la 28 iulie 2005 si la
Paris la 1 august 2005

Amploarea deosebit de grava a inundatiilor care s-au produs in anul 2005 a
determinat deteriorari majore ale infrastructurii rutiere si feroviare din
zonele afectate, ceea ce a condus la intreruperea sau la desfasurarea cu
greutate a transportului auto si feroviar, producand grave perturbari soldate
cu pierderi in activitatea umana, sociala si economica a zonelor afectate, prin
izolarea acestora.
Aceasta situatie extraordinara din categoria celor prevazute la art. 115
alin. (4) din Constitutia Romaniei, republicata, reclama efectuarea, in regim
de urgenta, a tuturor demersurilor legale necesare efectuarii lucrarilor pentru
remedierea, reparatia si punerea in functiune a infrastructurii de transport
avariate.
In temeiul art. 115 alin. (4) din Constitutia Romaniei, republicata, si al
art. 19 alin. (3) din Legea nr. 590/2003 privind tratatele,
Guvernul Romaniei adopta prezenta ordonanta de urgenta.
Art. 1
Se ratifica Acordul-cadru de imprumut dintre Romania si Banca de Dezvoltare
a Consiliului Europei, in valoare de 51.200.000 euro, referitor la finantarea
Proiectului privind reabilitarea portiunilor din reteaua rutiera si feroviara
deteriorate de inundatiile din primavara anului 2005 in Romania (Proiect),
semnat la Bucuresti la 28 iulie 2005 si la Paris la 1 august 2005, denumit in
continuare Acord.
Art. 2
(1) Aplicarea prevederilor Acordului va fi realizata de catre Ministerul
Transporturilor, Constructiilor si Turismului, prin Compania Nationala de
Autostrazi si Drumuri Nationale din Romania - S.A. si prin Compania Nationala
de Cai Ferate "C.F.R." - S.A., desemnate ca agentii de implementare.
(2) Ministerul Finantelor Publice va incheia cu Ministerul Transporturilor,
Constructiilor si Turismului un acord de imprumut subsidiar prin care se vor
stabili drepturile si obligatiile partilor in aplicarea prevederilor Acordului.
Ministerul Finantelor Publice va delega Ministerului Transporturilor,
Constructiilor si Turismului intreaga autoritate si responsabilitate pentru
executarea Proiectului si efectuarea tragerilor sumelor subimprumutului.
Art. 3
Contributia Romaniei la finantarea Proiectului se va asigura, in limita
echivalentului in lei al sumei de 12.800.000 euro, de la bugetul de stat, prin
bugetul Ministerului Transporturilor, Constructiilor si Turismului. La aceasta
se adauga suma de 12.672.000 euro, necesara acoperirii contravalorii
impozitelor si taxelor de orice fel datorate si platibile pe teritoriul
Romaniei.
Art. 4
Plata serviciului datoriei publice aferent imprumutului, respectiv
rambursarea acestuia, achitarea dobanzilor, comisioanelor si a altor costuri
aferente imprumutului, va fi asigurata de Ministerul Transporturilor,
Constructiilor si Turismului din sume cu aceasta destinatie alocate de la
bugetul de stat in bugetul propriu.
Art. 5
(1) Se autorizeaza Guvernul Romaniei ca, prin Ministerul Finantelor
Publice, de comun acord cu Banca de Dezvoltare a Consiliului Europei, sa
introduca, pe parcursul utilizarii imprumutului, in raport cu conditiile
concrete de derulare a Acordului, amendamente la continutul acestuia, care
privesc realocari de fonduri, modificari in structura imprumutului pe
componente, precum si alte modificari care nu sunt de natura sa majoreze
obligatiile financiare ale Romaniei fata de Banca de Dezvoltare a Consiliului
Europei sau sa determine noi conditionari economice fata de cele convenite
initial intre parti.
(2) Amendamentele la Acord, convenite cu Banca de Dezvoltare a Consiliului
Europei potrivit alin. (1), se vor aproba prin hotarare a Guvernului.

Romania, prin Ministerul Finantelor Publice, Bucuresti, Romania (denumita
in continuare Imprumutat), pe de o parte, si Banca de Dezvoltare a Consiliului
Europei, organizatie internationala, Paris (denumita in continuare BDCE), pe de
alta parte,
avand in vedere solicitarea prezentata de catre membrul Guvernului
Romaniei, datata 9 iunie 2005,
avand in vedere Rezolutia Consiliului de administratie al BDCE 1480 (2004),
avand in vedere cel de-al treilea Protocol la Acordul general pentru
privilegii si imunitati al Consiliului Europei,
avand in vedere articolele Normelor de imprumut ale BDCE, datate octombrie
1970,
au convenit asupra urmatoarelor:
Art. 1
Conditii generale
Acest imprumut este acordat in baza conditiilor generale din Normele de
imprumut actuale ale BDCE si in baza conditiilor speciale stabilite in
prezentul acord-cadru de imprumut, denumit in continuare Acord, in anexele sale
si in acordurile suplimentare, denumite in continuare scrisorile suplimentare.
Art. 2
Proiectul
BDCE acorda Imprumutatului, care accepta, un imprumut pentru finantarea
partiala a Proiectului F/P 1524 (2005), aprobat de Consiliul de administratie
al BDCE in 17 - 18 iunie 2005, care se refera la reabilitarea portiunilor din
reteaua rutiera si feroviara deteriorate de inundatiile din primavara anului
2005 din Romania.
Acest imprumut este acordat de BDCE luandu-se in considerare angajamentul
pe care Imprumutatul si l-a luat de a-l utiliza numai pentru finantarea
sectorului din Proiect descris in anexa nr. 1, denumit in continuare Proiect,
si de a realiza un astfel de Proiect in conformitate cu conditiile detaliate in
anexa mentionata.
Orice modificare a modului de utilizare a imprumutului, care nu a primit
aprobarea BDCE, poate conduce la suspendarea, anularea sau rambursarea imediata
a imprumutului, conform conditiilor stipulate in art. 13 din Normele de
imprumut.
Art. 3
Imprumutul
3.1. Conditii financiare
Valoarea imprumutului acordat este: 51.200.000 (cincizeci si unu milioane
doua sute mii) euro.
Potrivit conditiilor prevazute in anexa nr. 1, imprumutul va fi tras in
transe. Fiecare transa a imprumutului va fi acordata pentru o perioada de
maximum 20 de ani, incluzand o perioada de gratie de 5 ani.
Pentru fiecare transa, valoarea, rata dobanzii, valuta, data tragerii,
perioada de rambursare si conturile de remitenta ale fiecarei parti vor fi
stabilite de comun acord de Imprumutat si BDCE, prin fax.
O scrisoare suplimentara la Acord, care precizeaza conditiile pentru
fiecare transa, va fi intocmita la momentul tragerii in formatul prezentat in
anexa nr. 2.
O rata a dobanzii subventionata din Fondul fiduciar selectiv, care nu va
depasi 2.000.000 euro, va fi aplicata in baza conditiilor de imprumut ale BDCE.
In orice caz, rata dobanzii dupa deducerea subventiei pentru rata dobanzii nu
trebuie sa scada niciodata sub zero.
3.2. Trageri
Tragerea imprumutului in mai multe transe va fi efectuata in conformitate
cu stadiul lucrarilor Proiectului.
Prima tragere trebuie efectuata in cel mult 18 luni de la data aprobarii
Proiectului.
O transa in avans de pana la 30% din valoarea aprobata a imprumutului va fi
trasa intr-un cont inregistrat care poate fi auditat de BDCE.
Tragerile urmatoare se vor baza pe declaratiile Imprumutatului referitoare
la stadiul implementarii Proiectului (si pe previziunile referitoare la stadiul
lucrarilor in anul curent).
Transele ulterioare vor fi trase odata ce 90% din transa anterioara au fost
utilizate.
3.3. Mobilizarea
In scopul mobilizarii transelor de imprumut, Imprumutatul va trimite la
BDCE, inaintea fiecarei trageri, angajamentul de plata anexat (anexa nr. 3)
pentru fiecare transa. Angajamentul de plata este emis si platibil in moneda in
care se plateste transa.
3.4. Domiciliul
Toate sumele datorate de imprumutat in cadrul acestui imprumut sunt
platibile in valuta fiecarei transe in contul al carui numar va fi comunicat de
BDCE Imprumutatului la momentul tragerii, cu notificare prin fax, ce urmeaza sa
fie trimisa la BDCE de catre banca insarcinata de catre Imprumutat cu
efectuarea platii, cu cel putin 5 zile lucratoare inaintea fiecarei plati.
3.5. Date
Prevederile art. 3 fac obiectul conventiei modificarii urmatoarei zile
lucratoare. Modificarea urmatoarei zile lucratoare inseamna o conventie prin
care, daca data specificata va cadea intr-o zi care nu este lucratoare (zi
lucratoare reprezinta o zi in care functioneaza sistemul TARGET - Sistemul de
transfer rapid automat transeuropean cu privire la decontarile brute in timp
real), o astfel de data va fi prima zi care urmeaza acelei zile care reprezinta
o "zi lucratoare", cu conditia ca acea zi sa nu cada in urmatoarea
luna calendaristica, situatie in care acea data va fi prima zi care preceda
acea zi care se considera "zi lucratoare".
Art. 4
Monitorizarea imprumutului si a Proiectului
4.1. Utilizarea imprumutului
4.1.1. Perioada
Suma fiecarei transe din imprumut trebuie utilizata de catre Imprumutat
pentru finantarea Proiectului, in termen de 12 luni de la disponibilizarea ei
de catre BDCE.
4.1.2. Implementarea Proiectului
Imprumutatul va organiza managementul Proiectului astfel incat acesta se
afla in responsabilitatea a doua agentii de implementare (denumite in
continuare agentii de implementare) ce functioneaza sub autoritatea
Ministerului Transporturilor, Constructiilor si Turismului:
- Compania Nationala de Autostrazi si Drumuri Nationale din Romania - S.A.
(CNADNR), care va detine responsabilitatea generala pentru managementul
lucrarilor de reabilitare a retelei de drumuri;
- Compania Nationala de Cai Ferate "C.F.R." - S.A. (CFR - SA),
care va avea responsabilitatea generala pentru managementul lucrarilor de reabilitare
a retelei de cai ferate.
Pentru coordonarea si supervizarea zilnica a activitatilor pentru
implementarea Proiectului, fiecare dintre agentiile de implementare va stabili
o unitate de implementare a Proiectului (UIP).
Imprumutatul, prin agentiile de implementare, va depune toate diligentele
si va folosi toate mijloacele utilizate in mod obisnuit, in special mijloacele
financiare, tehnice, sociale si manageriale si cele referitoare la protectia
mediului, care vor fi necesare pentru implementarea corespunzatoare a
Proiectului.
In cazul in care costurile Proiectului cresc sau vor fi revizuite dintr-un
motiv oarecare, Imprumutatul se va asigura ca sunt disponibile resursele
financiare suplimentare pentru finalizarea Proiectului.
Imprumutatul, prin agentiile de implementare, se va angaja in plus ca:
- Proiectul corespunde conventiilor in materie ale Consiliului Europei;
- Proiectul respecta mediul inconjurator, in baza cadrului legal relevant
din Romania;
- Proiectul respecta criteriile de eligibilitate specificate in anexa nr.
1;
- finantarea partiala de catre BDCE nu depaseste 80% din costul total al
Proiectului, exclusiv dobanda si taxele, asa cum se specifica in anexa nr. 1.
4.1.3. Achizitii
Achizitiile vor fi efectuate in conformitate cu cea mai recenta legislatie
in vigoare in Romania referitoare la achizitii, cu conditia ca o astfel de
legislatie si proceduri sa nu se afle in conflict cu Ghidul de achizitii al
BDCE si Pragurile LIC, asa cum sunt definite in anexa nr. 4.
BDCE nu va emite nici o aprobare referitoare la aranjamentele cu privire la
achizitiile propuse de Imprumutat, inclusiv contractul de pachetizare si
procedurile aplicabile, dar isi va rezerva dreptul de a proceda la o ante- sau
postanaliza a documentatiei de achizitie pe baza de esantion.
In orice caz, responsabilitatea pentru implementarea Proiectului si, prin
urmare, responsabilitatea pentru adjudecarea si administrarea contractelor in
baza Proiectului revin Imprumutatului, prin agentiile de implementare.
4.2. Rapoartele Imprumutatului
4.2.1. Rapoarte privind stadiul Proiectului
La fiecare 3 luni de la tragerea primei transe a imprumutului pana la
finalizarea intregului Proiect, Imprumutatul, prin intermediul agentiilor de
implementare, va transmite la BDCE un raport care specifica:
- situatia utilizarii imprumutului;
- stadiul planului de finantare a Proiectului;
- stadiul Proiectului in sine;
- detalii asupra managementului Proiectului.
In anexa nr. 5 este prevazuta macheta in care se specifica minimumul de
informatii solicitate de catre BDCE pentru rapoartele privind stadiul
Proiectului. De asemenea, pot fi utilizate formulare alternative ce contin
aceleasi informatii.
4.2.2. Raportul privind finalizarea Proiectului
La finalizarea intregului Proiect, Imprumutatul, prin intermediul
agentiilor de implementare, va prezenta un raport final cuprinzand o evaluare a
efectelor economice, financiare, sociale si de mediu ale Proiectului.
4.3. Furnizarea de informatii catre BDCE
Imprumutatul, prin intermediul agentiilor de implementare, va tine
evidentele contabile referitoare la Proiect, care vor trebui sa fie in
conformitate cu standardele internationale, care vor arata, in orice moment,
evolutia Proiectului si care vor inregistra toate operatiunile efectuate si vor
identifica serviciile finantate cu ajutorul prezentului imprumut.
Imprumutatul, prin intermediul agentiilor de implementare, se angajeaza sa
primeasca intr-un mod favorabil orice misiuni de informare efectuate de
angajatii BDCE sau de consultantii externi angajati de BDCE si sa asigure
deplina cooperare, necesara pentru misiunea de informare a acestora, prin
facilitarea oricaror posibile vizite la amplasamentul Proiectului. In special, BDCE
poate efectua la fata locului un audit al contabilitatii Proiectului, audit
realizat de unul sau de mai multi consultanti, la alegerea sa, pe cheltuiala
Imprumutatului, in cazul neindeplinirii de catre Imprumutat a vreuneia dintre
obligatiile sale in baza prezentului imprumut.
Imprumutatul, prin intermediul agentiilor de implementare, se angajeaza sa
raspunda intr-un interval de timp rezonabil oricarei solicitari de informatii
din partea BDCE si sa le puna la dispozitia acesteia impreuna cu documentatia
pe care BDCE ar considera-o necesara si o poate solicita in mod rezonabil in
scopul corespunzatoarei implementari a Acordului, in special in ceea ce
priveste monitorizarea Proiectului si utilizarea imprumutului.
Imprumutatul va informa BDCE imediat in legatura cu orice schimbare
legislativa sau a normelor in sectorul economic relevant pentru Proiect si,
intr-un sens general, cu privire la orice eveniment care poate influenta
realizarea obligatiilor sale in cadrul Acordului. Orice modificare a legislatiei
sau a normelor din sectorul economic relevant pentru Proiect ar constitui un
eveniment dupa cum este precizat in art. 13-h al cap. 3 din Normele de imprumut
ale BDCE si poate produce suspendarea, anularea sau rambursarea imediata a
imprumutului.
Art. 5
Incetarea obligatiilor Imprumutatului
Plata sumei datorate, stipulata in angajamentul de plata, elibereaza
Imprumutatul de obligatiile sale, asa cum se precizeaza in sectiunea 3.1.
Dupa ce intreaga suma a acestui imprumut si intreaga dobanda si alte
cheltuieli ce rezulta din acesta, in special acele sume mentionate in cadrul
art. 6 si 7, au fost in intregime platite, Imprumutatul va fi pe deplin
eliberat de obligatiile sale fata de BDCE, cu exceptia celor definite la art.
4.
Art. 6
Dobanda pentru intarziere
Fara a contraveni oricarui alt recurs disponibil BDCE in baza Acordului si
a Normelor de imprumut ale BDCE sau altfel, daca Imprumutatul nu plateste
intreaga dobanda sau orice alta suma platibila conform Acordului, cel mai tarziu
la data scadenta specificata, Imprumutatul trebuie sa plateasca dobanda
suplimentara la suma datorata si neplatita integral, la rata EURIBOR la o luna
pentru valuta platii intarziate la data scadenta (daca nu este zi lucratoare
TARGET, prima zi lucratoare care urmeaza), la ora 11,00 a.m. (ora locala la
Bruxelles), plus 2,5% pe an, de la data scadentei acestei sume pana la data
platii reale.
Rata EURIBOR la o luna, aplicabila, trebuie sa fie actualizata la fiecare
30 de zile.
Art. 7
Costuri asociate
Toate taxele si impozitele de orice fel, datorate si platite, si toate
cheltuielile rezultate fie din incheierea, executarea, lichidarea, anularea sau
suspendarea Acordului, in intregul lui ori in parte, fie din garantia sau
refinantarea imprumutului acordat, impreuna cu toate actiunile juridice sau
extrajuridice pe care le are la origine acest imprumut, vor fi suportate de
Imprumutat prin CNADNR si CFR - SA.
In orice caz, prevederile art. 25 cap. 4 din Normele de imprumut ale BDCE
vor fi aplicate in ceea ce priveste costurile procedurii de arbitraj mentionate
la cap. 4.
Art. 8
Garantii
Imprumutatul declara ca nu a fost facut si nici nu va fi facut in viitor
vreun alt angajament care ar putea da unei terte parti un regim preferential,
un drept preferential de plata, o colaterala sau o garantie de orice natura ar
fi, care ar putea sa confere drepturi sporite tertilor, denumita in continuare
garantie.
Daca o astfel de garantie a fost totusi acordata unei terte parti,
Imprumutatul este de acord sa intocmeasca ori sa furnizeze o garantie identica
in favoarea BDCE sau, acolo unde este impiedicat sa procedeze astfel, o
garantie echivalenta si sa stipuleze constituirea unei astfel de garantii in
favoarea BDCE.
Neconformarea cu aceste prevederi va reprezenta un caz de culpa, asa cum se
mentioneaza in art. 13-h cap. 3 din Normele de imprumut ale BDCE, si poate
provoca suspendarea, anularea sau rambursarea imediata a imprumutului.
Art. 9
Reprezentari si asigurari
Imprumutatul declara si garanteaza ca:
- autoritatile sale competente l-au autorizat sa incheie Acordul si i-au
dat autorizarea de semnare in acest scop, in conformitate cu legile, decretele,
reglementarile, articolele de asociere si alte texte aplicabile acestuia;
- intocmirea si semnarea Acordului nu contravine legilor, decretelor,
reglementarilor, articolelor de asociere si altor texte aplicabile acestuia si
ca toate permisele, licentele si autorizatiile necesare au fost obtinute si vor
ramane valabile pentru toata perioada imprumutului.
Orice modificare in legatura cu reprezentarile si certificarile mentionate
mai sus trebuie, pentru intreaga durata a imprumutului, sa fie notificata
imediat catre BDCE si orice document justificativ trebuie furnizat.
Art. 10
Relatii cu terti
Imprumutatul, in cadrul utilizarii imprumutului, nu poate invoca nici un
fapt referitor la relatiile sale cu terte parti, in scopul evitarii
indeplinirii, totale sau partiale, a obligatiilor rezultate din Acord.
BDCE nu are voie sa se implice in diferendele care pot aparea intre
Imprumutat si terte parti, iar costurile, indiferent de natura lor, survenite
BDCE datorita oricarui diferend si, in special, toate costurile juridice sau de
judecata se vor face pe cheltuiala Imprumutatului.
Art. 11
Interpretarea Acordului
Imprumutatul declara ca a luat la cunostinta de Normele de imprumut ale
BDCE, care sunt considerate parte integranta a Acordului, si ca a primit o
copie a acestora.
Acolo unde exista o contradictie intre oricare dintre prevederile de orice
fel ale Normelor de imprumut ale BDCE si oricare dintre prevederile Acordului,
va prevala prevederea din Acord.
Titlurile paragrafelor, sectiunilor si capitolelor din Acord nu vor servi
pentru interpretarea acestuia.
In nici un caz nu se presupune ca BDCE a renuntat in mod tacit la vreun
drept care i s-a acordat prin Acord.
Art. 12
Legea aplicabila
Acordul si garantiile negociabile aferente acestuia vor fi guvernate de
regulile BDCE, asa cum se specifica in prevederile art. 1 paragraful 3 din cel
de-al treilea Protocol, datat 6 martie 1959, la Acordul general pentru
privilegii si imunitati al Consiliului Europei, datat 2 septembrie 1949, si, in
al doilea rand, daca este necesar, de legea franceza.
Diferendele dintre partile la Acord vor face obiectul arbitrajului, in
conditiile specificate in cap. 4 din Normele de imprumut ale BDCE.
Art. 13
Executarea unei hotarari de arbitraj
Partile contractante convin sa nu faca uz de nici un privilegiu, de nici o
imunitate sau legislatie in fata oricarei autoritati jurisdictionale sau altei
autoritati, fie ea nationala sau internationala, pentru a obiecta fata de vreo
punere in aplicare a unei decizii date in conditiile specificate in cap. 4 din
Normele de imprumut ale BDCE.
Art. 14
Notificari
Orice notificare sau alta comunicare ce urmeaza a fi data sau intocmita in
baza Acordului catre BDCE sau Imprumutat va fi in scris si se va considera pe
deplin acordata sau efectuata atunci cand a fost inmanata personal, transmisa
cu posta aeriana sau prin fax de catre una dintre parti celeilalte, la acea
adresa a partii specificata mai jos.

Toate comunicarile ce urmeaza a fi date sau efectuate vor fi in limba

Art. 15
Intrarea in vigoare
Acordul va intra in vigoare la data semnarii de catre BDCE si Imprumutat si
a aprobarii lui de catre Guvernul Romaniei.
Art. 16
Exemplarele Acordului
Acordul este redactat in doua exemplare originale, fiecare dintre ele fiind
egal autentic.
Cate un exemplar original este pastrat de fiecare dintre partile
contractante.

Aceste prevederi se afla sub incidenta acordului "Conventiei de
Modificare a Zilei lucratoare Urmatoare", a carui definitie este data in
articolul 3.5 din Acordul-cadru de imprumut, semnat intre BDCE si Imprumutat la

In vederea mobilizarii acestei transe de imprumut, Imprumutatul va trimite,
in timp util, la BDCE un Angajament de plata corespunzator acestei transe [a se

Acest Angajament de plata constituie o legatura cu un imprumut acordat de
Banca de Dezvoltare a Consiliului Europei Imprumutatului la

Neexercitarea de catre detinatorul Biletului a oricarui drept care rezulta
