In conformitate cu prevederile art. 1, 2 şi ale art. 7 alin. (3), (10) şi (15) din Statutul Comisiei Naţionale a Valorilor Mobiliare, aprobat prin Ordonanţa de urgenţă a Guvernului nr. 25/2002, aprobată cu modificări prin Legea nr. 514/2002, modificată şi completată prin Legea nr. 297/2004 privind piaţa de capital, cu modificările şi completările ulterioare,

Comisia Naţională a Valorilor Mobiliare a hotărât, în şedinţele din 22 august 2007 şi 23 august 2007, emiterea următorului ordin:

Art. 1. - Se aprobă Regulamentul nr. 7/2007 de modificare a Regulamentului Comisiei Naţionale a Valorilor Mobiliare nr. 7/2006 privind veniturile Comisiei Naţionale a Valorilor Mobiliare, prevăzut în anexa care face parte integrantă din prezentul ordin.

Art. 2. - Regulamentul menţionat la art. 1 intră în vigoare la data publicării acestuia şi a ordinului de aprobare în Monitorul Oficial al României, Partea I, şi va fi publicat în Buletinul Comisiei Naţionale a Valorilor Mobiliare şi pe site-ul acesteia (www.cnvmr.ro).

Art. 3. - Direcţia reglementare din cadrul Direcţiei generale autorizare reglementare împreună cu Secretariatul general şi cu directorul general executiv vor urmări ducerea la îndeplinire a prevederilor prezentului ordin.

Regulamentul nr. 7/2007 de modificare a Regulamentului nr. 7/2006 privind veniturile Comisiei Nationale a Valorilor Mobiliare

Art. I. - Regulamentul nr. 7/2006 privind veniturile Comisiei Naţionale a Valorilor Mobiliare, aprobat prin Ordinul preşedintelui Comisiei Naţionale a Valorilor Mobiliare nr. 30/2006, se modifică după cum urmează:

1. Alineatul (1) al articolului 18 se abrogă.

2.  Punctul 3 din anexa la Regulamentul nr. 7/2006 se modifică si va avea următorul conţinut:

**) Cotele prevăzute la pct. 3.1-3.5 se aplică şi în cazul ofertelor publice transfrontaliere efectuate de un emitent pentru care România este stat membru de origine şi care intenţionează să deruleze o ofertă publică de vânzare/admitere la tranzacţionare pe o piaţă dintr-un stat membru, altul decât România.

3.1.

Cotă din valoarea ofertelor publice de vânzare efectuate în vederea admiterii la tranzacţionare pe o piaţă reglementată a valorilor mobiliare emise de societăţi comerciale care s-au aflat în proprietatea statului sau care se privatizează

3.2.

Cotă din valoarea ofertelor publice de vânzare efectuate în vederea admiterii valorilor mobiliare la tranzacţionare pe o piaţă reglementată, altele decât cele prevăzute la pct. 3.1

Cotă din valoarea ofertelor publice de vânzare efectuate în vederea majorării capitalului social al unui emitent ale cărui acţiuni sunt deja admise la tranzacţionare pe o piaţa reqlementată

Cotă din valoarea ofertelor publice de vânzare de obligaţiuni emise de:

a) autorităţi ale administraţiei publice centrale din România şi din alte state

b) autorităţi ale administraţiei publice locale din România si orqanisme'internationale

Cotă din valoarea ofertelor publice de vânzare, altele decât cele prevăzute la pct. 3.1-3.4

Art. II. - La data intrării în vigoare a prezentului regulament se abrogă Dispunerea de măsuri nr. 5 din 25 iunie 2007.
